GENERAL TERMS AND CONDITIONS OF USE AND SALE OF BONOBO TOYS CO.

By purchasing any items through our Site, a binding contractual relationship is established under the following terms:

  • FOR USERS LOCATED IN THE UNITED STATES, CANADA, OR MEXICO: The contract is entered into directly with Bonobo Toys Corp. Consequently, the Company assumes full management of the transaction (payment processing, logistics dispatch, post-sale service, and refund management where applicable).

2. SCOPE AND EXTENT OF THE AGREEMENT

2.1. Applicability

These Terms of Use and Sale (the "Terms") govern:

Transactions completed prior to a modification will retain the terms in effect at the time of purchase.

2.6. MANDATORY ARBITRATION AND CLASS ACTION WAIVER (U.S., CANADA, AND MEXICO)

IMPORTANT NOTICE: THE USER AND BONOBO TOYS CO. AGREE THAT ANY CLAIM OR DISPUTE ARISING FROM THIS AGREEMENT OR THE PRODUCTS SHALL BE RESOLVED EXCLUSIVELY ON AN INDIVIDUAL BASIS, EXPRESSLY WAIVING ANY RIGHT TO JURY TRIALS, CLASS-WIDE ARBITRATIONS, OR ANY CLASS OR REPRESENTATIVE PROCEEDINGS. PLEASE REFER TO SECTION 14 FOR THE OPT-OUT MECHANISM.

3. ACCESS REQUIREMENTS AND COVERAGE

3.1. Age Requirement

Our platforms are intended for adults. Minors under 18 years of age (or the age of majority in their jurisdiction) may only use the Services under the direct supervision of a parent or legal guardian who accepts these Terms. The legal guardian assumes full responsibility for the minor's use of the Services.

3.2. Geographic Limitations

The sale and delivery of our Products are strictly limited to physical addresses within the United States. We do not currently operate or ship outside of this nation.

3.3. Exclusive Retail Use

Our platforms are configured strictly for end consumers. Mass purchasing intended for unauthorized commercial resale is strictly prohibited.

4. ACCOUNT MANAGEMENT AND USER DATA

4.1. Accuracy of Information

The user agrees to provide authentic, accurate, and current information in all interactions or purchases made on the Site or App.

4.2. Credential Security

Upon opening a profile on our platforms:

It is strictly prohibited to upload or distribute material that:

  • Infringes upon intellectual property or third-party rights.
  • Contains defamatory, discriminatory, obscene, or unlawful content.
  • Introduces malicious code, harmful software, or unsolicited mass communications (spam).

5.3. Monitoring and Moderation

Bonobo Toys Co. reserves the right to review, block, or remove any publication that violates these parameters, without prior notice.

6. PROHIBITED USES AND UNSANCTIONED ACTIVITIES

Users are expressly prohibited from performing any actions intended to:

  • Use the platforms for unlawful purposes.
  • Decompile, copy, modify, or reverse-engineer the Site's technology.
  • Utilize automated tools (bots, crawlers, or scrapers) to extract information without formal written authorization.
  • Execute maneuvers that overload, damage, or disable the Company's technological infrastructure.

7. PRODUCT CHARACTERISTICS AND PRICING

7.1. Visual Representation

Product photographs and descriptions are presented for guidance purposes only. The final finish, color tone, or packaging of the actual Product may present minor variations depending on the screen display used or manufacturing processes.

7.2. Pricing Error Adjustments

In the event of an obvious and unintended pricing error on a published item, we will verify the amount prior to approving delivery. If the correct price is higher, we will contact the customer to confirm whether they wish to proceed or cancel the order. If the error is manifest and unmistakable, we reserve the right to cancel the transaction and issue a full refund.

8. SALES PROCESS AND PAYMENT TERMS

8.1. Order Finalization

Placing an order constitutes an offer to purchase. The transaction shall be deemed finalized and binding only when the Company issues an Official Order Acceptance and Dispatch Notification.

8.2. Tax Framework and Shipping Costs (U.S., Canada, and Mexico)

  • Base Prices: Unless otherwise specified, displayed prices do not include local taxes (such as Sales Tax in the U.S., GST/HST/PST in Canada, or VAT/IVA in Mexico) or shipping fees.
  • Final Calculation: Applicable taxes and shipping costs will be itemized during the checkout process prior to order confirmation.
  • Territorial Criteria: The tax burden depends on the final shipping destination.

8.3. Payment Methods

When completing a purchase, the customer represents that they hold legal authorization to use the selected financial instrument (bank cards or payment platforms) and authorizes Bonobo Toys Co. to charge the total amount of the transaction.

8.4. Purchase Volume Restrictions

In order to protect the availability of our collectible items, the Company may establish limits on units sold per customer, account, address, or payment method. We reserve the right to decline or cancel orders that breach these measures.

9. DELIVERY TERMS AND TRANSFER OF RISK

9.1. Permitted Destinations

Deliveries will only be made to physical addresses within the U.S.; orders addressed to unverified P.O. Boxes will not be processed.

9.2. Transfer of Title and Risk

  • In the United States and Canada: Sales are conducted under shipment contract terms (FOB Origin). Responsibility and title to the package transfer to the buyer the moment the merchandise is handed over to the courier service.
  • In Mexico: Risk during transit will remain governed by applicable consumer protection regulations until the physical receipt of the package at the designated delivery address.

10. EXCHANGE, RETURN, AND REFUND POLICY

10.1. Reporting Period

If the received Product displays original defects, transit damage, or does not correspond to the order, the buyer must report it within a maximum period of 14 calendar days from receipt by writing to support@bonobotoys.com.

10.2. Item Requirements

To qualify for a return, the collectible item must be returned in its unopened original packaging, with intact security seals, and with all components and accessories unused.

10.3. Refunds

Upon inspecting the returned item at our facilities, refunds will be credited through the original payment method within an estimated period of 5 to 10 business days. Original shipping fees are non-refundable unless the return is attributable to a manufacturing defect or an error by the Company.

11. INTELLECTUAL PROPERTY RIGHTS

All graphic elements, trademarks, trade names, figures, toy models, source code, and text present on the Site are the exclusive property of Bonobo Toys Co. or its respective licensors. Any reproduction, distribution, or modification without prior, formal written authorization is strictly prohibited.

12. DISCLAIMER OF WARRANTIES AND LIMITATIONS OF LIABILITY

  • "AS IS" AVAILABILITY: The Products and Services are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, except as required by law.
  • LIMITATION OF DAMAGES: Bonobo Toys Co. shall not be liable for indirect, incidental, punitive, or consequential damages resulting from the use of the platform or the purchase of Products.
  • CAP ON LIABILITY: The Company's maximum aggregate financial liability for any claim shall be strictly limited to the amount actually paid by the user for the item subject to the dispute.

13. INDEMNIFICATION OBLIGATION

The user agrees to defend, indemnify, and hold harmless Bonobo Toys Corp., its representatives, and employees against any claims, losses, or expenses (including legal fees) arising from their improper use of the Services, breach of these Terms, or violation of third-party rights.

14. DISPUTE RESOLUTION AND ARBITRATION MECHANISM

14.1. Informal Resolution

Any controversy must first be submitted to informal negotiations by sending a notice to legal@bonobotoys.com. Both parties shall allow a period of thirty (30) days to reach an amicable agreement.

14.2. Mandatory Binding Arbitration

If an agreement is not reached within the specified timeframe, the dispute shall be submitted to individual, binding arbitration administered by a recognized arbitral institution in the consumer's country of residence (such as the American Arbitration Association - AAA in the U.S.).

14.3. Class Action Waiver

Both parties expressly waive the right to institute or participate in class action lawsuits, class-wide arbitrations, or jury trials to resolve any dispute related to the Company.

14.4. Right to Opt-Out

The consumer may reject the mandatory arbitration clause by providing written notice within 30 days of their first purchase or registration via:

15. APPLICABLE LAW AND JURISDICTION

Within the framework of the USMCA / CUSMA / T-MEC trade agreement:

  • For Buyers in the United States: This agreement shall be governed by the laws of the State where Bonobo Toys Co. maintains its principal place of business.
  • For Buyers in Canada: The laws of the user's home province and applicable federal laws of Canada shall apply.
  • For Buyers in Mexico: Federal laws of the United Mexican States (Commercial Code and Federal Consumer Protection Law) shall apply.

For matters not subject to arbitration, the parties submit to the jurisdiction of the courts corresponding to the consumer's domicile.

16. MISCELLANEOUS PROVISIONS

  • Severability: The invalidity or unenforceability of any provision shall not affect the validity of the remaining sections of this document.
  • No Waiver: The failure of the Company to exercise any right under these Terms shall not constitute a waiver of such right.
  • Entire Agreement: This text constitutes the complete agreement between the user and Bonobo Toys Co. regarding the use of the platforms and purchases made.
